Philips Semiconductors signs letter of intent to sell CPLD business to Xilinx

Philips and Xilinx have agreed to work closely with each other to assist Philips' CoolRunner customers minimize the impact of this product line sale. Philips Semiconductors today announced that it has signed a letter of intent (LOI) with Xilinx, Inc., whereby Xilinx intends to purchase the CoolRunner™ CPLD (Complex Programmable Logic Device) business line from Philips Semiconductors. The Philips Semiconductors employees associated with the CoolRunner product family and its XPLA™ Professional suite of design tools are expected to be retained by Xilinx upon completion of the transaction. Completion of the sale is expected in July, pending approval by the Philips Board of Management and normal regulatory approvals.

Under the terms of the agreement, Xilinx will purchase the Philips Semiconductors CoolRunner technology as well as its XPLA Professional suite of design tools. The companies did not disclose financial terms of the agreement.

As part of the agreement, Philips Semiconductors retains the right to incorporate the Fast Zero Power™ technology used in the CoolRunner CPLDs in embedded applications such as custom ASICs. The CoolRunner products will continue to be made at Philips Semiconductors' wafer fabs in Europe and at the Taiwan Semiconductor Manufacturing Corporation in Taiwan. Philips Semiconductors and Xilinx also plan to work on joint developments for System-on-a-chip (SOC) applications.

"This transaction allows Philips Semiconductors to increase focus in the company's core areas such as the consumer, telecommunications and automotive markets, as well as in the discrete, logic and microcontroller product lines", said Rick Goeld, senior vice president of the MultiMarket Products Business Unit at Philips Semiconductors. "Additionally, this agreement will be beneficial to customers of the CoolRunner CPLD product family. Customers can continue to take advantage of the low-power, high-density CoolRunner devices, and at the same time, leverage Xilinx's strong support infrastructure."
